1. Overview

Pathway Vet Alliance LLC and its affiliates, d/b/a Thrive Pet Healthcare (“Thrive” or the “Company”), is committed to the fair and transparent calculation and payment of production compensation for veterinarian employees of Thrive (each, a “Doctor”), consistent with the terms of each Doctor’s Offer Letter and the Company’s Terms & Conditions of Employment (together, the “Agreement”).


The following definitions apply for purposes of calculating Production Pay under a Doctor’s Agreement

Base Pay

Base Salary, plus paid time off, sick time, and all other cash compensation paid to the Doctor, excluding cash bonuses, paid parental leave, and Production Pay

Base Salary

bi-weekly compensation specified in the Doctor’s Agreement

Credited Production

The percentage of revenue specified in the Doctor’s Agreement in the categories of Services, Products, and OTC Products

Net Revenue

for a specified period, the gross revenue recorded in the applicable Production Period less all discounts (including, but not limited to, marketing, courtesy, and employee discounts, but excluding discounts on Services offered in the Programs) and bad debt written off in such Production Period

OTC Products

over-the-counter products and prescription diets dispensed at the time of a visit, where a fee is charged for the Doctor’s examination time

Production Period

the period of time over which your Production Pay is calculated, as specified in the Doctor’s Agreement

Products

prescription drugs, including non-routine refills that require the Doctor’s review and approval, but excluding sales of prescription drugs where an online pharmacy is utilized

Programs

membership-based pet health and wellness discount programs offered by Thrive

Services

services overseen by or performed by the Doctor, including examination fees, imaging procedures, in-house and external laboratory fees, anesthesia, surgery, professional hospitalization fees, treatments, immunizations, dental procedures, medical care for animals being boarded, consultation fees charged to clients and euthanasia fees

Production Pay

A Doctor’s production pay is the amount by which a Doctor’s Credited Production for the Production Period exceeds the Doctor’s Base Pay (if any) for the same Production Period (“Production Pay”). Production Pay is calculated separately for each hospital in which the Doctor provided services during the applicable Production Period.  Production Pay is calculated per Production Period only and is not subject to negative accrual from prior Production Periods

Earning Production Pay

Production Pay is not earned by the Doctor until

(i)Thrive has collected payment in full from the customer for all billed Services, Products, and OTC Products;

(ii) all adjustments and reconciliations have been made and finalized by Thrive, and

(iii) up to 60 days after Thrive has collected full payment from the customer and the customer has not returned the Products

Payment of Production Pay

Production Pay is paid in accordance with an annual schedule, a copy of which will be provided to each Doctor upon hire and on an annual basis thereafter and which may be requested at any time by contacting payroll@thrivepet.com

Credited Production Exclusions

  • services and consultations performed for the hospital by outside specialists or mobile service providers;

  • internal service and maintenance costs;

  • sales tax amounts;

  • shipping fees;

  • bio-hazardous waste fees;

  • boarding fees;

  • body disposal and cremation fees;

  • copying of radiographs;

  • surgical implants not included in surgery fees;

  • supplies, surgical packs, and equipment;

  • other high-cost items or facility-related fees with a minimal mark-up and/or greater than normal expense identified by the Company from time to time;

  • sales of prescription drugs where an online pharmacy is utilized;

  • products purchased upon the initiative of clients after the conclusion of the doctor-client visit;

  • over-the-counter products purchases in connection with a follow-up visit where no fee is charged for the Doctor’s reexamination time;

  • any fees for laboratory work not associated with an exam where the Doctor is not involved with the laboratory work or communicating the results;

  • any fees or other items specifically excluded under the applicable Doctor Agreement;

  • and any medical, dental, and/or surgical treatments, products, or care for the Doctor’s pets where such treatments, products, or care are provided to the Doctor at a discount. 

No Duplication

Notwithstanding anything in this Doctor Production Policy or such Doctor’s Agreement to the contrary, no Doctor may receive duplicate payments attributable to the same revenue item and no revenue item may be double-counted for purposes of calculating a Doctor’s Production Pay. 

Termination of Employment

All Production Pay earned as of the last day of a Doctor’s employment will be paid in accordance with the annual Production Pay schedule unless an earlier date of payment is required by law.

2. Modification, Revocation, Amendment or Termination of Policy

Subject to the terms of the Doctor’s Agreement, Thrive reserves the right, to the fullest extent permissible by law and consistent with the Terms and Conditions of Veterinary Employment, to modify, revoke, amend, or terminate any of the provisions of this Policy at any time, except if applicable law prohibits such modification, revocation, amendment, or termination.
